AGREEMENT TO TERMS

These Terms of Service ("Terms," "ToS," or "Agreement") constitute a legally binding agreement between you (whether personally or on behalf of an entity) ("you," "your," or "User") and Firdaus Azizi Training & Consultancy (Business Registration No. 002339002H) ("we," "us," "our," "Reseller," or "Company") concerning your access to and use of the https://www.watoolbox.com.my website and your purchase of WA Toolbox Chrome extension subscriptions through our reseller services (collectively, the "Service").​

BY PURCHASING, DOWNLOADING, INSTALLING, OR USING WA TOOLBOX, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PURCHASE OR USE THE SERVICE.

1. IMPORTANT PRELIMINARY NOTICES

1.1 Reseller Relationship

WE ARE AN AUTHORIZED RESELLER ONLY. We (Firdaus Azizi Training & Consultancy) are an authorized reseller of WA Toolbox, which is developed, owned, and operated by Elbruz Technologies. Our verification as an authorized reseller can be confirmed at here.

We do not develop, maintain, or control the WA Toolbox extension. All technical aspects, functionality, updates, and infrastructure are managed by Elbruz Technologies.​

1.2 Multiple Governing Agreements

Your use of WA Toolbox is governed by multiple agreements:​

• These Terms of Service (governing your purchase through our reseller platform)
• WA Toolbox Terms of Use (by Elbruz Technologies)
• Google Chrome Web Store Developer Agreement
• WhatsApp Terms of Service (by Meta Platforms, Inc.)
• Meta Terms of Service and Privacy Policy

YOU MUST COMPLY WITH ALL OF THE ABOVE AGREEMENTS. Violation of any of these agreements may result in termination of your access to WA Toolbox.

1.3 Independent Product

WA Toolbox is an independent product and is NOT affiliated with, endorsed by, or sponsored by WhatsApp Inc., Meta Platforms Inc., Facebook Inc., or Google LLC.​

WhatsApp™ and the WhatsApp logo are registered trademarks of WhatsApp LLC, a subsidiary of Meta Platforms, Inc.

2. COMPREHENSIVE DISCLAIMER OF LIABILITY

2.1 NO WARRANTIES - "AS IS" BASIS

WE PROVIDE OUR RESELLER SERVICES AND FACILITATE ACCESS TO WA TOOLBOX ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.​

TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability: No warranty that WA Toolbox is suitable for commercial purposes
• Fitness for a Particular Purpose: No warranty that WA Toolbox will meet your specific requirements
• Non-Infringement: No warranty that WA Toolbox does not infringe third-party rights
• Accuracy or Reliability: No warranty regarding the accuracy, completeness, or reliability of WA Toolbox
• Uninterrupted or Error-Free Service: No warranty that WA Toolbox will operate without interruption, errors, bugs, or defects
• Security: No warranty that WA Toolbox is completely secure or free from viruses, malware, or harmful components
• Compatibility: No warranty regarding compatibility with your devices, systems, or other software
• Results: No warranty regarding any specific results, outcomes, or business success from using WA Toolbox

2.2 Disclaimer Regarding WA Toolbox Functionality

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING:

• The quality, performance, or functionality of WA Toolbox
• The availability or uptime of WA Toolbox
• Technical support responsiveness or effectiveness
• Integration with WhatsApp Web, Google Chrome, or third-party applications
• Data accuracy, security, or integrity
• Compliance with your specific legal or regulatory requirements​

YOU ACKNOWLEDGE THAT: All technical aspects of WA Toolbox are controlled by Elbruz Technologies, and we have no control over the extension's operation, maintenance, updates, or discontinuation.

3. LIMITATION OF LIABILITY

3.1 Maximum Liability Cap

TO THE FULLEST EXTENT PERMITTED BY MALAYSIAN LAW:

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, YOUR PURCHASE, OR YOUR USE OF WA TOOLBOX SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR YOUR WA TOOLBOX SUBSCRIPTION IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.​

If you have not paid us any amount, our liability is limited to USD $5.00 (five US dollars) or MYR $25.00 (twenty-five Malaysian Ringgit), whichever is less.

3.2 Exclusion of Consequential Damages

IN NO EVENT SHALL WE, OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:​

• Loss of Profits or Revenue: Any loss of actual or anticipated profits or revenue
• Loss of Business: Loss of business opportunities, contracts, or goodwill
• Loss of Data: Loss, corruption, or unauthorized access to your data
• Business Interruption: Any interruption to your business operations
• Loss of Customers or Clients: Loss of customer relationships or client accounts
• Loss of Use: Loss of use of WA Toolbox or any related services
• Loss of Savings: Loss of anticipated savings or economic advantage
• Damage to Reputation: Harm to your business or personal reputation
• Cost of Substitute Services: Cost of procuring alternative or substitute services
• WhatsApp Account Restrictions: Suspension, limitation, or permanent ban of your WhatsApp account
• Meta/WhatsApp Policy Violations: Penalties, restrictions, or legal consequences from violating WhatsApp or Meta policies
• Third-Party Claims: Claims made against you by third parties arising from your use of WA Toolbox
• Regulatory Penalties: Fines or penalties imposed by regulatory authorities (e.g., data protection violations, spam regulations)

THESE LIMITATIONS APPLY:

• Regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)
• Even if we have been advised of the possibility of such damages
• Even if any remedy fails of its essential purpose
• Whether the damages were foreseeable or unforeseeable

4. COMPREHENSIVE INDEMNIFICATION

4.1 Your Indemnification Obligations

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS Firdaus Azizi Training & Consultancy, Elbruz Technologies, their respective directors, officers, employees, agents, affiliates, partners, licensors, and service providers (collectively, "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees and legal costs) arising from or related to:​

1. Your Use of WA Toolbox: Any use or misuse of WA Toolbox by you or anyone using your account
2. Violation of Terms: Your breach or alleged breach of these Terms or any other applicable agreements
3. Violation of Laws: Your violation of any applicable law, regulation, or industry standard
4. WhatsApp/Meta Violations: Your violation of WhatsApp Terms of Service, Meta Terms of Service, or WhatsApp Business Messaging Policy​
5. Third-Party Rights: Your infringement or violation of any third-party intellectual property, privacy, or other rights
6. Your Content: Any content, data, or messages you transmit, store, or process using WA Toolbox
7. Spam or Unsolicited Messages: Sending unsolicited messages, spam, or engaging in mass messaging without proper consent​
8. Data Protection Violations: Violations of GDPR, PDPA, CCPA, or other data protection laws​
9. Customer Complaints: Complaints or claims made by your customers, clients, or message recipients
10. Account Suspension/Ban: Any consequences arising from suspension or banning of your WhatsApp account​
11. Business Impacts: Any negative business impacts, financial losses, or reputational harm you experience
12. Misrepresentations: Any misrepresentations you make about WA Toolbox, us, Elbruz Technologies, WhatsApp, or Meta
13. Unauthorized Activities: Any unauthorized, illegal, or fraudulent activities conducted using WA Toolbox

4.2 Indemnification Process

If an indemnifiable claim arises:

1. We will provide you with written notice of the claim
2. You will assume control and full responsibility for the defense
3. You will not settle any claim without our prior written consent
4. We reserve the right to participate in the defense at our own expense
5. You will cooperate fully with us in the defense

4.3 No Authorization of Warranties

YOU ACKNOWLEDGE THAT YOU ARE NOT AUTHORIZED TO MAKE ANY WARRANTIES, REPRESENTATIONS, OR PROMISES ON BEHALF OF US, ELBRUZ TECHNOLOGIES, WHATSAPP, OR META.​

You are solely responsible for any warranties, representations, or statements you make to your customers or third parties.

5. DISCLAIMERS SPECIFIC TO WA TOOLBOX

5.1 No Responsibility for Third-Party Services

WE ARE NOT RESPONSIBLE FOR:

• Elbruz Technologies' Actions: Any actions, omissions, errors, or failures by Elbruz Technologies​
• WhatsApp/Meta Changes: Changes to WhatsApp Web, WhatsApp API, or Meta policies that affect WA Toolbox functionality​
• Google Chrome Updates: Chrome browser updates that cause compatibility issues​
• Third-Party Integrations: Failures of third-party applications or services integrated with WA Toolbox​
• Internet Connectivity: Internet service interruptions or connectivity issues
• Device Compatibility: Compatibility issues with your specific devices or operating systems

5.2 WhatsApp Account Risks - CRITICAL WARNING

IMPORTANT WARNING: USE WA TOOLBOX AT YOUR OWN RISK

WA TOOLBOX IS AN UNOFFICIAL THIRD-PARTY TOOL THAT AUTOMATES INTERACTIONS WITH WHATSAPP WEB. WHATSAPP AND META DO NOT OFFICIALLY ENDORSE OR SUPPORT AUTOMATION TOOLS.

USING WA TOOLBOX MAY RESULT IN:

• Temporary or permanent suspension of your WhatsApp account
• Restrictions or limitations on your WhatsApp account functionality
• Loss of access to your WhatsApp account and all associated data
• Violation of WhatsApp Terms of Service​

YOU ACKNOWLEDGE AND ACCEPT THAT:

1. WhatsApp's Terms Prohibit Automation: WhatsApp's Terms of Service and Business Messaging Policy contain restrictions on automation, bulk messaging, and use of unofficial clients​
2. Account Ban Risk: You may face account suspension or permanent ban for violating WhatsApp policies​
3. No Liability for Account Issues: We are NOT responsible if your WhatsApp account is suspended, banned, restricted, or terminated​
4. No Guarantee of Compliance: We do not guarantee that WA Toolbox complies with WhatsApp's current or future policies
5. Sole Responsibility: You are solely responsible for ensuring your use of WA Toolbox complies with WhatsApp policies​

5.3 Compliance with WhatsApp and Meta Policies

YOU MUST COMPLY WITH:

• WhatsApp Terms of Service
• WhatsApp Business Messaging Policy​
• Meta Terms of Service​
• Meta Privacy Policy​
• WhatsApp Community Guidelines

YOU MUST NOT USE WA TOOLBOX TO:

• Send unsolicited messages or spam​
• Violate recipient privacy or data protection rights​
• Engage in harassment, abuse, or threatening behavior
• Impersonate others or create fake identities
• Distribute malware, viruses, or harmful content
• Conduct illegal activities or fraud
• Violate intellectual property rights
• Send messages without proper opt-in consent​
• Mass message without recipient permission​

FAILURE TO COMPLY MAY RESULT IN: Account termination by us, WhatsApp account ban, legal action, and full liability for all consequences.​

6. DATA PROTECTION AND PRIVACY COMPLIANCE

6.1 Your Responsibilities

YOU ARE SOLELY RESPONSIBLE FOR:

• Legal Compliance: Ensuring your use of WA Toolbox complies with all applicable data protection laws, including but not limited to GDPR, PDPA (Malaysia), CCPA (California), and other privacy regulations​
• Obtaining Consent: Obtaining proper consent from individuals before collecting, processing, or messaging them​
• Privacy Notices: Providing adequate privacy notices to data subjects​
• Data Security: Implementing appropriate security measures to protect personal data​
• Data Breach Response: Responding to data breaches in accordance with applicable law​
• Data Subject Rights: Honoring data subject rights (access, correction, deletion, etc.)​
• Cross-Border Transfers: Ensuring lawful transfer of personal data across borders​

6.2 No Liability for Your Data Practices

WE ARE NOT RESPONSIBLE FOR:

• Your collection, use, storage, or disclosure of personal data
• Your violations of data protection laws or regulations
• Fines, penalties, or legal action arising from your data practices​
• Data breaches or security incidents involving your data
• Complaints or claims from data subjects or regulators

6.3 You Remain Bound to Privacy Laws

Nothing in these Terms exempts you from compliance with applicable privacy and data protection laws.​

7. MARKETING AND SPAM COMPLIANCE

7.1 Opt-In Requirements

BEFORE SENDING MARKETING MESSAGES USING WA TOOLBOX, YOU MUST:

• Obtain explicit opt-in consent from recipients​
• Clearly disclose the purpose and nature of messages
• Provide easy opt-out mechanisms​
• Honor opt-out requests immediately​
• Maintain records of consent

WA Toolbox's marketing features are NOT intended for mass messaging or spamming.​

7.2 Prohibited Marketing Practices

YOU MUST NOT:

• Send unsolicited commercial messages (spam)​
• Purchase or use third-party contact lists without consent
• Scrape or harvest phone numbers from public sources
• Send messages to people who have not given permission​
• Continue messaging after opt-out requests​
• Use deceptive or misleading message content
• Violate CAN-SPAM Act, GDPR marketing rules, or similar regulations​

7.3 Consequences of Spam

Spam or unsolicited messaging may result in:​

• WhatsApp account ban
• Legal action from recipients or regulators
• Fines and penalties under anti-spam laws
• Termination of your WA Toolbox subscription
• Civil liability and damages

8. INTELLECTUAL PROPERTY

8.1 Ownership

• WA Toolbox: All intellectual property rights in WA Toolbox belong to Elbruz Technologies​
• Our Website: All content on https://www.watoolbox.com.my belongs to us
• Third-Party Marks: WhatsApp, Meta, Facebook, Chrome, and related trademarks belong to their respective owners​

8.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access our reseller website
• Purchase WA Toolbox subscriptions
• Use WA Toolbox in accordance with Elbruz Technologies' license terms​

This license does NOT permit you to:

• Resell, redistribute, or sublicense WA Toolbox
• Reverse engineer, decompile, or disassemble WA Toolbox
• Remove or modify any proprietary notices
• Use our or Elbruz Technologies' trademarks without permission

8.3 Proprietary Rights Protection

You must respect all intellectual property rights. Unauthorized use may result in termination and legal action.

9. USER CONDUCT AND PROHIBITED ACTIVITIES

9.1 Acceptable Use

You agree to use WA Toolbox only for lawful purposes and in accordance with these Terms.

9.2 Prohibited Activities

YOU MUST NOT:

Illegal Activities:

• Violate any applicable local, national, or international law
• Engage in fraud, scams, or deceptive practices
• Facilitate money laundering or terrorist financing
• Distribute illegal content or contraband

Abusive Behavior:

• Harass, threaten, or intimidate others
• Engage in hate speech or discrimination
• Bully or cyberstalk individuals
• Impersonate others or create fake identities

Technical Violations:

• Attempt to hack, compromise, or bypass WA Toolbox security
• Introduce viruses, malware, or harmful code
• Overload or disrupt WA Toolbox infrastructure
• Interfere with other users' use of WA Toolbox
• Use automated scripts or bots (beyond WA Toolbox's intended automation)​

Commercial Violations:

• Resell WA Toolbox without authorization
• Use WA Toolbox for competitor analysis or reverse engineering
• Exceed usage limits or fair use policies
• Share your account credentials with unauthorized users

Content Violations:

• Distribute copyrighted content without permission
• Share false, misleading, or defamatory information
• Distribute obscene, pornographic, or offensive content
• Share sensitive personal or financial information insecurely​

10. SUBSCRIPTION AND PAYMENT TERMS

10.1 Subscription Purchase

• Subscriptions are purchased through our reseller platform
• Payment is processed by our third-party payment processors
• Subscription activates upon successful payment confirmation
• License keys or activation instructions are provided via email

10.2 Pricing

• All prices are displayed in the applicable currency (MYR, USD, etc.)
• Prices are subject to change at our discretion
• Price changes do not affect active subscriptions
• Taxes may be added where applicable

10.3 Billing Cycles

• Monthly Subscriptions: Billed monthly on the anniversary of purchase
• Annual Subscriptions: Billed annually on the anniversary of purchase
• Automatic Renewal: Subscriptions auto-renew unless cancelled​

10.4 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for cancellations after the 7-day refund period (see Refund Policy)
• Access continues until subscription expiry

10.5 Non-Payment

Failure to pay subscription fees may result in:

• Suspension of WA Toolbox access
• Termination of subscription
• Collection efforts or legal action
• Additional fees or charges

11. TERM AND TERMINATION

11.1 Term

These Terms commence when you purchase or use WA Toolbox and continue until terminated.

11.2 Termination by You

You may terminate by:

• Cancelling your subscription
• Ceasing use of WA Toolbox
• Requesting account deletion

11.3 Termination by Us

We reserve the right to terminate or suspend your access immediately, without notice, for any reason, including:

• Violation of these Terms
• Violation of WA Toolbox, WhatsApp, Meta, or Google policies​
• Illegal activities or fraud
• Abusive behavior toward us, our staff, or other users
• Non-payment of subscription fees
• Risk to our business, reputation, or legal standing
• At our sole discretion

11.4 Effect of Termination

Upon termination:

• Your right to use WA Toolbox ceases immediately
• Your license is revoked
• We may delete your account data (subject to legal retention requirements)
• Sections of these Terms that by nature should survive termination will survive (disclaimers, limitations of liability, indemnification, governing law)

11.5 No Liability for Termination

We are not liable for any damages, losses, or consequences arising from termination.​

12. DISPUTE RESOLUTION AND GOVERNING LAW

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.​

12.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms shall be filed exclusively in the courts of Malaysia, and you consent to the personal jurisdiction of such courts.​

12.3 Informal Dispute Resolution

Before initiating formal legal proceedings, you agree to first contact us to attempt informal resolution:

12.4 Limitation Period

Any claim or cause of action arising under these Terms must be filed within one (1) year after the claim arose, or it will be permanently barred.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding your purchase and use of WA Toolbox through our reseller services.​

13.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website with a new "Last Updated" date. Continued use after changes constitutes acceptance. Material changes may be communicated via email.​

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.​

13.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.​

13.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time without notice.​

13.6 Force Majeure

We are not liable for any delay or failure in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, strikes, internet failures, government actions, or natural disasters.​

13.7 Third-Party Beneficiaries

Elbruz Technologies, WhatsApp, Meta, and Google are intended third-party beneficiaries of these Terms and may enforce provisions directly.​

13.8 Language

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

13.9 Notices

All notices to us must be sent to:

13.10 Independent Contractor

You and we are independent contractors. These Terms do not create any partnership, joint venture, employment, or agency relationship.​

14. ACKNOWLEDGMENTS AND REPRESENTATIONS

BY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE AND REPRESENT THAT:

1. You have read, understood, and agree to be bound by these Terms
2. You have the legal capacity and authority to enter into this Agreement
3. You understand and accept all risks associated with using WA Toolbox
4. You acknowledge that we are a reseller and not the developer of WA Toolbox​
5. You understand that you remain subject to WhatsApp, Meta, and Google policies​
6. You understand the risk of WhatsApp account suspension or ban​
7. You accept all disclaimers, limitations of liability, and indemnification obligations
8. You understand that we provide no warranties regarding WA Toolbox
9. You are solely responsible for compliance with all applicable laws​
10. You have obtained professional legal advice if necessary for your specific use case
